Terms of Service
Last updated October 7, 2026
These Terms of Service ("Terms") are an agreement between you and Ambush Research LLC and its affiliates, operating under the name Ambush (collectively, "Ambush," "we," "us," or "our"). They govern your use of Ambush, including the Ambush web app at app.ambush.ai, the Ambush API and MCP server, and our related websites and services (the "Services"). By creating an account or using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.
If you use the Services on behalf of a company or other organization, you represent that you have authority to bind it to these Terms, and "you" includes that organization. If your organization has signed a separate written agreement with Ambush, such as an Enterprise order form, that agreement controls wherever it conflicts with these Terms.
1. Accounts and workspaces
- Eligibility. You must be at least 18 years old and able to form a binding contract. You may not use the Services if applicable law prohibits you from doing so.
- Your account. Keep your account information accurate. You are responsible for all activity under your account and API keys, and for keeping your credentials secure. Tell us promptly at support@ambush.ai if you suspect unauthorized use.
- Workspaces. Streams, destinations, API keys, and billing belong to a workspace. Workspace admins can invite and remove members, manage settings and billing, and access the content in the workspace. Members are responsible for following these Terms, and the workspace owner is responsible for activity in its workspace.
2. The Services
Ambush lets you describe in plain language what you want to follow. We then monitor news, filings, social posts, and other sources. Automated systems, including AI models, select the items that match, and we deliver alerts to the destinations you choose.
We are continually improving the Services and may add, change, or remove features, sources, and destinations. Features we label as beta, preview, or experimental are provided as-is and may change or be discontinued.
We do not guarantee that any particular source will be monitored, that every relevant event will be detected, or that alerts will arrive within any particular time.
3. Plans, credits, and payment
- Plans. Some features require a paid plan or credits. Prices and plan details are shown in the Services or in your order form.
- Subscriptions. Paid subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period.
- Credits. Using the Services consumes credits at the rates shown in the Services. For example, credits are used when we evaluate news against your streams, deliver alerts, or run historical backtests.
- Credits included with a plan expire at the end of the billing period in which they were granted.
- Purchased credits do not expire, but they are forfeited if your workspace or account is closed or terminated.
- Credits have no cash value and cannot be transferred, exchanged, or redeemed for cash.
- Usage beyond your balance. You agree to pay for usage that exceeds your credit balance. We may pause usage until you add credits or update your plan.
- Payment. Stripe processes payments. You authorize us and Stripe to charge your payment method for all fees you incur. Fees do not include taxes, and you are responsible for any applicable taxes.
- Refunds. Fees and credits are non-refundable, except where the law requires otherwise or these Terms say so. If a payment is refunded, reversed, or charged back, we may remove the related credits or plan benefits.
- Changes and non-payment. We will give you advance notice of price changes. A price change takes effect at the start of your next billing period. We may suspend paid features if a payment fails.
4. Your content
"Your Content" means the prompts, stream names, settings, feedback, and other material you submit to the Services, along with information from services you connect.
You keep ownership of Your Content. You grant Ambush a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Your Content, which we use to:
- provide, maintain, and secure the Services
- improve our products
We handle personal information in Your Content as described in our Privacy Policy.
You represent that you have the rights needed to submit Your Content, and that Your Content and your use of it do not violate the law or these Terms.
If you send us feedback or suggestions, we may use them without any obligation to you.
5. Alerts, third-party content, and AI output
- Third-party content. Alerts contain and link to headlines, summaries, and other content from third-party publishers and platforms. That content belongs to its owners. We do not endorse it, and we are not responsible for it.
- Your use of alerts. You may use alerts delivered to you for your own personal or internal business purposes, including in your own agents, tools, and workflows. You are responsible for making sure that any redistribution or public display of alerts respects the rights of the original publishers. You may not resell, sublicense, or redistribute the Services or alert feeds as a standalone data product, or make them available to third parties in a manner that substitutes for the Services, without our written permission.
- AI output. Alerts and other outputs are produced by automated systems and may be inaccurate, incomplete, delayed, or attributed to the wrong source. Headlines may be rewritten or translated. Check important information against the original source before relying on it.
- Not advice. The Services are for informational purposes only. Nothing in them is financial, investment, trading, legal, or other professional advice. A reference to a market, security, asset, or prediction market is not a recommendation. You are solely responsible for your decisions.
- Not for emergencies. Do not rely on the Services for emergencies or for any use where a missed or late alert could cause injury, death, or serious harm.
6. Destinations, integrations, and the API
- Destinations. You authorize us to send alerts and related information to the destinations you set up, such as webhooks, Slack, Telegram, email, MCP clients, and agents. You are responsible for those destinations and for anyone who can access them. We may disable a destination that repeatedly fails or that we believe is being misused.
- Third-party services. Services you connect to Ambush, such as Slack, Telegram, ChatGPT, and other agent hosts, are governed by their own terms. We are not responsible for them.
- API and MCP access.
- Keep your API keys confidential; you are responsible for all use of them.
- Use only our documented interfaces, and stay within the rate and usage limits we set.
- We may rate-limit, suspend, or revoke keys to protect the Services.
7. Acceptable use
You agree not to:
- violate any law or anyone else's rights
- use the Services to harass, stalk, or surveil private individuals, or to collect or expose personal information without authorization
- use the Services to seek or promote illegal goods or services, facilitate crime, or exploit or abuse anyone, including minors
- deliver alerts or messages to people who have not agreed to receive them
- probe, scan, or test the vulnerability of the Services, or breach their security or authentication measures, without our written permission
- interfere with or disrupt the Services, or get around rate limits, credit metering, access controls, or prompt policies
- scrape or bulk-export data from the Services except through the API as we permit
- reverse engineer the Services, except to the extent the law expressly allows
- resell or sublicense the Services, or share accounts or API keys outside your workspace
- use the Services to build a competing product
- use the Services or their outputs to reproduce, train, benchmark, develop, or improve a competing service or substantially similar dataset, except as permitted with our written authorization
- create accounts through automated means, or upload malicious code
We may review prompts and other content for compliance with these Terms, and we may reject prompts that violate our policies.
8. Ambush's rights
Ambush and its licensors own the Services, including the software, models, design, and content. This does not include Your Content or third-party content.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services. We reserve all rights not expressly granted.
You may not use Ambush's names, logos, or trademarks without our permission.
9. Suspension and termination
You may stop using the Services at any time, and you can delete your account from your account settings.
We may suspend or terminate your access if any of the following apply:
- you violate these Terms
- you fail to pay fees you owe
- your use creates risk or possible legal exposure for Ambush or others
- we are required to do so by law
- we discontinue the Services
Where reasonable, we will give you notice first.
When your access ends, your right to use the Services ends too. We may then delete Your Content as described in our Privacy Policy.
The following sections continue to apply after these Terms end: 3 (for amounts owed), 4, 5, and 8 through 15.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, AMBUSH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT THEY WILL DETECT ANY PARTICULAR EVENT, OR THAT ALERTS WILL BE COMPLETE, ACCURATE, OR DELIVERED ON TIME.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AMBUSH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TRADING OR INVESTMENT LOSSES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. THE TOTAL AGGREGATE LIABILITY OF AMBUSH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FOR ALL CLAIMS RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID AMBUSH IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$100.
Some jurisdictions do not allow certain warranties to be disclaimed or liability to be limited. In those places, the disclaimers and limitations above apply only to the extent the law allows.
12. Indemnification
You will defend, indemnify, and hold harmless Ambush and its affiliates, directors, officers, employees, and agents against any claims, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your Content
- your use of the Services or of alerts
- the destinations you set up
- your violation of these Terms, the law, or anyone else's rights
13. Governing Law and Dispute Resolution
Governing law. These Terms and any disputes arising out of or relating to the Services are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
Informal resolution. Before initiating litigation, either party must provide written notice of the dispute and attempt to resolve it informally for 30 days. Notices to Ambush must be sent to legal@ambush.ai and must describe the dispute and requested relief. Ambush may seek immediate injunctive or equitable relief to protect its intellectual property, confidential information, or the security of the Services without completing this process.
Exclusive jurisdiction. To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or the Services, whether based in contract, tort, statute, or otherwise, must be brought exclusively in the state or federal courts located in Delaware. Both parties consent to the personal jurisdiction of those courts.
Class-action and jury-trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND AMBUSH WAIVE THE RIGHT TO A JURY TRIAL AND AGREE THAT ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY, NOT AS PART OF ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY SUCH PROCEEDING AGAINST AMBUSH.
One-year limitation on claims. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU MUST BRING ANY CLAIM AGAINST AMBUSH ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES. OTHERWISE, YOU PERMANENTLY WAIVE THE RIGHT TO PURSUE THAT CLAIM, AND THE CLAIM IS BARRED. THIS LIMITATION DOES NOT APPLY WHERE APPLICABLE LAW PROHIBITS SHORTENING THE STATUTORY LIMITATIONS PERIOD.
Corporate protections. The protections in this section extend to Ambush's parent companies, subsidiaries, affiliates, officers, directors, employees, and agents, each of whom is an intended third-party beneficiary entitled to enforce this section.
Severability and survival. If any provision of this section is unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law. This section survives termination of these Terms.
Nothing in this section limits rights or remedies that cannot lawfully be waived under applicable law.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will post the new version here and update the "Last updated" date. If we make material changes, we will give you reasonable advance notice by email or within the Services. If you keep using the Services after the changes take effect, you accept the updated Terms.
15. General
- Entire agreement. These Terms, the Privacy Policy, and any order form you sign with us are the entire agreement between you and Ambush about the Services.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Export and sanctions. You will comply with US and other applicable export control and sanctions laws. You will not use the Services in, or on behalf of anyone in, a sanctioned country, or on behalf of any restricted party.
- Notices. We may send you notices by email to your account address or within the Services. Send legal notices to us at legal@ambush.ai.
- Other terms.
- If any provision of these Terms is unenforceable, the rest remain in effect.
- If we do not enforce a provision, that does not waive our right to enforce it later.
- Neither party is liable for delays caused by events beyond its reasonable control.
- The parties are independent contractors.
- These Terms create no third-party beneficiary rights, except that Ambush's affiliates, officers, directors, employees, and agents may enforce Sections 10 through 13 to the extent those provisions protect them.
